VALUATION OF INTANGIBLE ASSETS
(Trademarks and Patents)

Intangible assets, like all company assets, represent a source of potential income for the company. In general, the following categories can be identified: products/services (in this case the intangible asset refers to a potential patent or trademark originating from huge investments in research and development supported by the company), customer relation (the presence of customers loyal to the brand and the company allows the application of a premium price, resulting in a competitive advantage for the company itself in the competitive arena), human resources (the activities implemented by the company function increase employee productivity and reduce turnover) and organizational capital (organizational models and business processes that allow the company to gain a competitive advantage over the competition, both through the generation of positive income flows and through the reduction of production costs).

The valuation of intangible assets represents a widely debated topic today, also in light of subsidized regulations for the benefit of those who make substantial investments in these assets (you know, for example, the “August Decree”, which provides for the revaluation of the brands owned by the company, with the aim of encouraging the capitalization of companies, without tax charges); it therefore becomes essential to carry out a correct assessment of the capabilities of a company, carefully analyzing all the assets that compose it and understanding its real potential.

REVALUATION OF BUSINESS ASSETS

The legislator, on several occasions, has provided for special rules for the revaluation of business assets. The last to be, object of analysis, is that provided for by the art. 110 del DL 14.8.2020 n. 104, conv. L. 13.10.2020 n. 126. The latest special revaluation laws are being redone, with a few variations, to the articles. 10 ss. of the L. 21.11.2000 n. 342, subject to implementation by the Ministerial Decree 13.4.2001 n. 162 and the DM 19.4.2002 n. 86.

The business assets and equity investments referred to in section II of chapter I of the Law can be revalued. 342/2000. It's about, Therefore:
• tangible and intangible assets (brands, patents, licenses etc, with the exception of i “meri” multi-year costs), with the exclusion of those whose production or exchange the business activity is aimed at;
• shareholdings in subsidiary and associated companies, provided that they constitute financial fixed assets.

A key step in carrying out the revaluation - and therefore increasing the value of your business - is related to the appraisal report for the assets subject to the revaluation.
The appraisal is a fundamental step to evaluate whether it is useful and appropriate to carry out the revaluation for tangible assets, but even more so for intangible assets which are very often assets that are difficult to evaluate and highly complex in finding the valuation of the same assets on the market.
However, the appraisal report is not a mandatory step, an "internal" estimate based on price lists or fees is also permitted, although it is strongly recommended as the reevaluated values ​​must be reliable. Indeed, as reported in Assirevi document no. 71 (Italian Association of Auditing Firms): the values ​​must be determined on the basis of appraisal reports drawn up by independent experts, which explain the criteria adopted for the determination in a clear and verifiable way.
The appraisal report may not be necessary for tangible assets, but for the immaterial ones it becomes almost mandatory, as it is very complicated to establish the revaluation of an abstract and intangible asset and for this reason it is very important to rely on professionals in the sector.

EVALUATION OF COMPANIES AND/OR BUSINESS BRANCHES

The company evaluation it is a subject that is spreading in professional practice to satisfy the ever-changing needs that the business world imposes. In the initial stages of development of the subject, the evaluation criteria were characterized by empirical factors, gradually replaced by more complex models based on generally accepted and objectively demonstrable assumptions.

Company valuation is a technique that aims to determine the value of a company, be it a joint-stock company or a partnership, or to determine the value of a company share.

The value of the company obtained with the company valuation should not be confused with its price, since the price is what is defined by the parties following the negotiation, and which usually has as its starting point an estimate process which is carried out with the company evaluation technique.

Estimation is a complex process which involves the most disparate aspects, not just accounting, fiscal and legal, but also environmental and market.

The value of the company understood as a complex of assets organized for the exercise of the business activity cannot be considered as the sum of individual assets due to the dynamic profile that characterizes them and the significant role played by the entrepreneur and his management and coordination skills which guarantee the production of an adequate level of income and an adequate remuneration of the risk taken.
